Audita License Agreement

This is the agreement between you (the buyer) and Audita that governs how the toolkits, templates and digital deliverables you purchase may be used. It's deliberately plain-language — if anything is unclear, write to hello@audita.in before you complete a purchase.

1. Definitions

"Audita" means Audita, the storefront and brand operated under the domain audita.in (and any successor domain). "Documents" means the .docx, .xlsx, .pdf and other digital files comprising a Toolkit purchased from Audita. "Licensed Entity" means the single legal entity named at checkout to whom the License is granted — appearing in the watermark, file metadata and invoice. "License" means the rights granted to the Licensed Entity by this Agreement. "Order" means a successfully completed transaction creating a License for one or more Toolkits.

2. Grant of License

Audita grants the Licensed Entity a non-exclusive, non-transferable, perpetual License to use the Documents internally, for the purposes set out in Section 3 below.

The License is granted to one legal entity only — the entity named at checkout. It cannot be assigned, sublicensed, sold, gifted, or otherwise transferred to any other entity, including subsidiaries, parents, affiliated companies, consulting clients, or successor organisations following a merger or acquisition. To use the Documents on behalf of another entity, a separate License must be purchased in that entity's name.

3. Permitted use

The Licensed Entity may:

4. Prohibited use

The Licensed Entity may not:

5. Watermark and traceability

Each Document delivered carries a watermark identifying the Order public ID, License key, and the Licensed Entity name, embedded both visibly (in the document footer) and in standard file metadata fields (Author, Title, Custom Properties). These markers help Audita and the Licensed Entity prove provenance during audit, and help detect unauthorised redistribution. Removal of these markers — by editing the footer, scrubbing metadata, converting through a third-party tool that strips properties, or any other means — is treated as evidence of intent to redistribute, and voids the License with no refund. Authorised internal modifications (renaming, content edits, layout changes) do not require preserving the markers verbatim, but the Order public ID must remain identifiable in at least one location within each Document throughout the License period.

6. Download window and version updates

Without an update-access subscription: the Licensed Entity may download the version of each Toolkit it purchased (v1) for three months from the Order date, up to a maximum number of downloads per License (currently 10 downloads). After the three-month window, the License remains valid — modifications already made may continue to be used — but new downloads of the original version are no longer available, and any new versions Audita publishes are not included.

With an update-access subscription: for the 12 months following purchase, the Licensed Entity may download any new version Audita publishes for the same Toolkit, and the download window for v1 stays open throughout. The subscription is annual and may be renewed at then-current pricing. If the subscription lapses, the Licensed Entity retains perpetual use of all versions downloaded during the subscription period but loses access to newer versions until renewed.

7. Refund policy

Because the Documents are digital deliverables released to the Licensed Entity immediately upon payment, Audita does not offer refunds once the first Download has occurred. Refunds for unused Orders (no Document downloaded) may be requested within 7 days of the Order date by writing to hello@audita.in. Refunds are issued through the original payment channel and typically reach the buyer within 5–10 business days. Where Razorpay's terms or applicable law require a longer cancellation window, the longer window applies.

8. Intellectual property

Audita retains all rights, title and interest in and to the Documents as originally delivered, including all underlying copyrights, drafting, structure and clause-mapping intellectual property. The License grants the Licensed Entity the right to use and modify the Documents as set out in Sections 2–4, but does not transfer ownership of the underlying work. ISO standards themselves remain the property of the International Organization for Standardization and any local adopting bodies; Audita's Documents are independent works that reference these standards but do not reproduce them. Nothing in this Agreement transfers any rights in ISO standards to the Licensed Entity.

9. Disclaimers

The Documents are provided as-is, on the basis that they reflect Audita's best understanding of the relevant ISO standards at the time of publication and the typical implementation patterns observed across audits performed by Audita's contributing lead auditors.

Use of the Documents does not constitute a guarantee, representation or warranty that the Licensed Entity will achieve certification, pass any specific audit, or comply with any particular law or regulation. Implementation of an effective management system depends on factors specific to the Licensed Entity's operations, risk profile and governance, all of which lie outside Audita's control. The Documents are a starting framework, not a substitute for professional judgement.

Audita is not a certification body, an accredited auditor of the Licensed Entity, or a regulator. Where the Licensed Entity requires formal advice on legal, regulatory or certification matters, it should engage qualified professionals in those domains.

10. Limitation of liability

To the maximum extent permitted by applicable law, Audita's total cumulative liability arising out of or relating to this Agreement and the Documents — whether in contract, tort, statute or otherwise — is limited to the amount actually paid by the Licensed Entity to Audita under the relevant Order in the twelve months preceding the event giving rise to the claim. In no event will Audita be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of revenue, loss of profits, loss of goodwill, audit non-conformities, or business interruption, even if Audita has been advised of the possibility of such damages. Nothing in this Agreement limits or excludes any liability that cannot lawfully be limited or excluded.

11. Termination

The License terminates automatically and without notice if the Licensed Entity materially breaches any provision of this Agreement, including (without limitation) Sections 4 and 5. Upon termination, the Licensed Entity must immediately cease all use of the Documents, destroy any copies in its possession, and certify destruction to Audita in writing upon request. Termination does not entitle the Licensed Entity to a refund of fees paid. Sections 4, 5, 8, 9, 10, 11, 12 and 13 survive termination of the License.

12. Governing law and dispute resolution

This Agreement is governed by the laws of India, without regard to its conflict-of-laws principles. The courts located in the state of registration of Audita's operating entity have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, subject to either party's right to seek interim relief in any court of competent jurisdiction. The Licensed Entity and Audita shall first attempt to resolve any dispute amicably by written notice and a 30-day good-faith negotiation period before commencing proceedings.

13. Changes to this Agreement

Audita may update this Agreement from time to time. The version in force at the date of the Order applies to that Order and any Documents downloaded under it. Updates apply prospectively to new Orders only; existing Licensed Entities continue to operate under the version of the Agreement that was current when their Order was placed, unless they expressly accept an updated version in writing.
